주식회사 하이퍼커넥트(“갑”)와 엠지코리아솔루션스 주식회사(“을”)는 2022년 8월 26일 각 개최된 주주총회에서 특별결의에 따라 (1) 갑의 주식을 모두 소유하고 있는 을이 갑으로 합병되고, (2) 갑은 합병과 관련하여 취득할 자기주식 14,758,500주 전부를 을의 주주에게 이전 및 교부하며, (3) 합병 결과 갑은 을의 모든 자산, 부채, 권리 및 의무를 승계하고, (4) 을은 해산하기로 결의하였습니다. 갑과 을의 채권자들께서는 본 합병에 대하여 이의가 있으시면 본 공고 게재 익일로부터 1개월 이내에 각 회사 본점에 이의제기를 신청해 주시기 바랍니다.  또한 을의 주권을 가지고 계신 주주 및 질권자들께서는 을의 본점 사무소에 주권을 제출하여 주시기 바랍니다.

Each of Hyperconnect, Inc. (“HPCNT”) and MG Korea Solutions Co., Ltd. (“MGKS”) has in accordance with special resolutions passed at a General Meeting of Shareholders of HPCNT and a General Meeting of Shareholders of MGKS respectively held on August 26, 2022, determined that (i) MGKS holding all of the shares of HPCNT shall be merged into HPCNT, (ii) HPCNT shall transfer and deliver to the shareholders of MGKS 14,758,500 treasury shares to be acquired in connection with the merger, (iii) as a result of the merger, HPCNT shall assume all of MGKS’s assets, liabilities, rights and obligations, and (iv) MGKS shall thereafter be dissolved.  All creditors of HPCNT and MGKS are hereby notified to file any objection they may have with respect to the merger with the principal office of the respective company within one (1) month from the date immediately following the date hereof.  The shareholders and pledgees of MGKS are hereby notified to submit all share certificates representing MGKS shares held by them to the Principal Office of MGKS within one (1) month from the date immediately following the date hereof.
